what sould I buy ?

Setup:

1.Philips 3388 DVD player with 1080P upscaling .
2.26" LCD TV.
3.Ch.5.1 speaker system.

Requirement: I want to create a not true home theatre with available devices Also suggest what exactly I need to go on next level of surround audio experience.

question like
1.do any AVR ? I alreday have 1080P upscaling device
2.do any Audio amplifier with true ch5.1 ? I already have one as explained.

Pls tell what extra I need and how do I use my existing devices with very tight budget.

You can go for entry level AVR around 15k with 5.1 ana input which can do all possible functions for you.

ok.. So there is no use of my existing Box(woofer) & 5 speakers ? or I can use them anyway with avr.

They will work with the new AVR, just make sure that the watts on AVR matched your existing 5.1 system. AVR should be able to drive them well which i suppose it will if you don't have some serious 5.1 system.

Connect your DVD player, Cable/DTH to the AVR as well and run the output from AVR to the TV and 5.1 system.

Your existing 5.1 speakers will be connected to the AVR which will receive the audio signal from the DVD player.

Also video can go the TV straight from DVD player or via the AVR.
